Part A. General terms
A1. Scope and provider
These terms govern the use of the Hookline platform operated by TechnoWrite UG (haftungsbeschränkt), Leinorstr. 35A, 85757 Karlsfeld, Germany ("Hookline", "we").
Hookline is offered exclusively to businesses within the meaning of § 14 BGB. By signing up you confirm that you act in the course of your trade, business or profession. Conflicting terms of users do not apply.
A2. What Hookline does
Hookline is an online marketplace on which brands book creators for user generated video content (UGC). The contract for producing a video and granting the usage rights is concluded directly between the brand and the creator. Hookline is not a party to that contract.
Hookline provides the platform, matching, order handling, payment handling through its payment service provider, documents such as invoices and license certificates, and support.
A3. Account
You need an account to use the marketplace. Your details must be true and kept up to date. Each person or company may hold only one account per role, and you must keep your password secret.
We may refuse a sign-up or the approval of a creator profile without giving reasons, as long as no contract has been concluded yet.
A4. Fees
Signing up is free. For each order Hookline charges the brand a brand fee and the creator a creator fee, each as a percentage of the agreed price. The applicable fees and the resulting totals including VAT are shown before every booking and on every invoice.
A5. Payments and escrow
Brands pay the full order amount when booking, by card or from their prepaid wallet. Payments are processed by Stripe, and the amount is held until the video is approved (escrow).
After approval, or automatically when the review period shown in the order ends without a change request, the creator's payout is released less the creator fee. If an order is cancelled or a dispute is decided in favour of the brand, the brand receives a refund.
A6. Ranking and matching
When a brand looks for creators, Hookline only shows approved creators whose niche, languages, price and free capacity before the deadline fit the brief. The order of the results comes from a weighted score:
- Niche fit: 30%
- Verified ad performance from connected ad accounts (Performance Passport): 25%
- Reliability from on-time delivery, approvals without revisions and ratings: 15%
- Price relative to the budget: 12%
- Delivery speed: 10%
- Language fit: 8%
Creators without verified data are placed at the benchmark. There are no paid placements.
A7. Content and fair use
You may not upload or request content that is unlawful, infringes the rights of others, discriminates, misleads or violates the advertising policies of the ad platforms.
Brands and creators who met through Hookline book further orders with each other through Hookline for Placeholder: Period, e.g. 12 months after their first order.
A8. Reporting content and complaints
You can report content you consider unlawful to info@technowrite.de. We review reports promptly and tell you our decision.
If we restrict your content or your account, we tell you why. You can complain about such decisions and about any other issue with our service at info@technowrite.de; we handle complaints free of charge and within a reasonable time.
A9. Suspension and termination
You can close your account at any time once open orders are completed. We can terminate the contract with 30 days' notice, stating our reasons. For good cause, in particular serious or repeated violations of these terms, we can suspend or terminate your account with immediate effect; in that case we also state our reasons.
A10. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health and under the Product Liability Act. For slight negligence we are only liable for breaches of essential contractual obligations, limited to the damage that is typical and foreseeable for this type of contract.
We are not liable for the content of videos, briefs or messages created by users, or for the performance of the contracts between brands and creators.
A11. Changes to these terms
We announce changes to these terms by email at least 15 days before they take effect. You can terminate the contract until then. If you do not, the new terms apply from that date.
A12. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Karlsfeld, the registered office of TechnoWrite UG (haftungsbeschränkt).
Part B. Terms for brands
B1. Briefs and booking
A booking reserves the creator's capacity slot for the hold time shown. The order is confirmed once the payment has been received. Unpaid reservations expire, and late payments are refunded automatically.
B2. Review and approval
You review every delivered video within the review period shown in the order. You can request changes with timestamped notes within the revision rounds agreed in the brief. If you do not respond within the review period, the video counts as approved.
B3. Usage rights
On approval and full payment the creator grants you the rights described in the order's license: usage type (organic, paid, whitelisting), channels, territory and term. The license certificate shows the exact scope. Any use beyond that scope requires a renewal or extension through Hookline.
B4. Wallet
You can top up a prepaid wallet and pay orders, renewals and bonuses from it. When your account is closed, any remaining balance is refunded Placeholder: Conditions and deadline for refunds.
B5. Ad accounts and performance data
If you connect an ad account, you allow Hookline to load metrics for the ads that use Hookline videos, to show them anonymised in the creator's Performance Passport and to use them for matching. Your brand name is never shown. You can disconnect at any time.
B6. Performance bonus
You can offer a bonus tied to a metric. The bonus is paid into escrow when you set it up, paid out to the creator automatically when the target is reached, and refunded to you at the end of the window otherwise.
Part C. Terms for creators
C1. Vetting and profile
We review new creator profiles before brands can see them. Your profile, rates and portfolio must show your own work.
C2. Capacity and orders
You decide which capacity slots you offer. A paid booking in one of your slots is binding. You deliver the video on time and as described in the brief; automated quality checks and an AI pre-check help with this but do not replace the brand's review.
C3. Rights and warranties
You warrant that you hold all rights needed for the video, including the consent of everyone shown and licenses for music and other material, and that the video does not infringe the rights of third parties. On approval you grant the brand the license described in the order.
You grant Hookline a simple, free right to show your portfolio videos and your anonymised performance figures on the platform and in your public Performance Passport for as long as your account exists.
C4. Payouts, credit notes and taxes
After approval Hookline pays out your share less the creator fee through Stripe. You agree that the brand settles your service by credit note (self-billing, § 14 (2) sentence 2 UStG) and that Hookline issues this credit note on the brand's behalf.
You are responsible for your own taxes and must state correctly whether you use the small business scheme. As a platform operator Hookline is required by law (PStTG, DAC7) to collect your tax details and report them to the Federal Central Tax Office.
C5. Performance Passport
Your Performance Passport shows verified results of your videos without naming brands. You can share it publicly with a link.
C6. License renewals
When a brand renews a license, you receive the renewal share set in your profile for every new term, invoiced like an order.
